Thank you for using The Digital Clinic! We build tools to help veterinary professionals deliver better care—through AI-powered documentation, specialist collaboration, and intelligent automation. Because we can't know every customer personally, we've put together these Terms of Service to help keep everything running smoothly.

When we say Company, we, us, or our in this document, we mean Clean Wake AB, a company registered in Sweden (org.nr 559483-8616).

When we say Services, we mean our website at digitalclinic.vet and the Digital Clinic platform, including all features, applications, and tools we provide—whether accessed through a web browser, mobile app, or any other format.

When we say you or your, we mean the people or organizations that use our Services. This includes veterinary professionals, clinic administrators, specialists, and pet owners who interact with the platform.

We may update these Terms in the future. The version on our website is always the current version — check the date at the top of this page. By continuing to use the Services after changes take effect, you agree to the updated Terms.

These Terms contain important provisions about liability, warranties, and dispute resolution. Please read them carefully.


The Basics

What The Digital Clinic Does

The Digital Clinic is a platform for veterinary professionals. Our tools include:

  • Voice notes and transcription — Record clinical observations and let AI help structure them
  • AI-assisted documentation — Generate reports, notes, and translations
  • Specialist consultations — Connect with veterinary specialists for expert input
  • Organization management — Centralized configuration, templates, and audit logs
  • Browser extension — Record voice notes directly from supported Practice Management Systems

We provide technology and infrastructure—we do not provide veterinary services, medical advice, or diagnoses ourselves.

Important: All medical decisions, diagnoses, and treatments remain the sole responsibility of the licensed veterinary professionals using the platform. We facilitate tools and connections; we do not practice veterinary medicine.

Who Can Use Our Services

Our Services are designed for:

  • Veterinary Professionals (veterinarians, veterinary nurses, clinic staff) who seek specialist consultations
  • Specialists who provide expert opinions and consultations
  • Clinic Administrators who manage accounts and billing
  • Pet Owners who may be invited to share information about their animals

You must be at least 18 years old to use our Services. By registering, you confirm that all information you provide is accurate and that you have the authority to bind your organization (if applicable) to these Terms.


Account Terms

  1. You are responsible for your account security. Keep your password confidential and enable multi-factor authentication (MFA). Account administrators can verify whether users have enabled MFA. We recommend it strongly—and may require it in the future.

  2. You are responsible for securing related accounts. Your email account is an attack vector if compromised (think: password resets). Protect it accordingly.
  3. You are responsible for all activity under your account, including content posted by users you've invited.
  4. One person, one account. User accounts are for individual use only and may not be shared among multiple people. You may of course create multiple accounts for multiple team members.
  5. Provide accurate professional information. If you're a veterinarian, specialist, nurse, or other professional, you must truthfully represent your position, profession, competencies, and licenses. Specialists must hold the professional qualifications and licenses required to provide the services they offer on the platform.
  6. You must operate within your jurisdiction's rules. Different countries have different regulations for veterinary practice, telemedicine, prescriptions, and controlled substances. It's your responsibility to know and follow the rules that apply to you.
  7. Accounts must be registered by humans. Automated account creation is not permitted.
  8. Keep your systems updated. To ensure security and proper functionality, you're responsible for maintaining up-to-date hardware and software—including your web browser and operating system.
  9. No transfer of accounts. You may not transfer your account or subscription to another party without our written consent.

User Responsibilities

For All Users

  • Follow our Acceptable Use Policy
  • Respect your employment contracts and other legal obligations
  • Don't upload content you don't have the right to share
  • Don't share personal information about others without their consent

For Veterinary Professionals

  • Obtain consent from pet owners before uploading their data, images, videos, or any personal information to the platform
  • Verify all information provided through the platform, including any AI-generated content or specialist recommendations, before making clinical decisions
  • Maintain appropriate insurance for your professional activities
  • Follow controlled substance regulations in your jurisdiction

For Specialists

  • Maintain valid professional credentials and licenses for the services you provide
  • Understand that you are available to all platform users by default unless you change your availability settings
  • Provide accurate banking information for payouts
  • Review and approve self-invoices we generate on your behalf (see Payment Terms)

For Users Who Invite Others

If you invite colleagues or other users to the platform, you're responsible for ensuring they have the appropriate role and authority for the access you're granting them.


Consent and Data Sharing

What You're Agreeing To

By using our Services, you acknowledge and agree that:

  1. All data you enter may be shared within your organization. Content uploaded to a case or consultation can be viewed by authorized members of your clinic, group, or organization.

  2. Communications may be recorded and analyzed. Chats, audio calls, and video calls may be recorded and processed (including by third-party services) to facilitate case management and maintain records.
  3. Third-party services process your data. We use various service providers to operate the platform. See our Sub-processors page for the current list.
  4. You must have rights to everything you upload. This includes obtaining consent from pet owners, ensuring you have copyright to images and videos, and verifying that any identifiable individuals (like a pet owner's family member appearing in a video) have consented to the material being shared.

Pet Owner Data

When pet owners share information through the platform:

  • Their data may be shared with veterinary staff and specialists involved in their pet's care
  • They must consent to our Privacy Policy and these Terms
  • Veterinarians are responsible for obtaining and documenting pet owner consent before using the platform for their cases

Browser Extension

We offer an optional Chrome browser extension that lets eligible users record voice notes directly from supported Practice Management Systems (PMS) and sync them to their Digital Clinic account.

Distribution and Updates

The extension is distributed through the Chrome Web Store. By installing it, you also agree to Google's Chrome Web Store Terms of Service, which apply in addition to these Terms. The extension is updated automatically by Chrome. If a critical update is released, you must allow the update to continue using the extension.

Eligibility

The extension is a paid feature available only to users with an active Digital Clinic subscription and the Chrome extension entitlement enabled on their account. If your entitlement is revoked or your subscription is cancelled, the extension's features will be disabled — the extension will remain installed in your browser until you remove it, but recording and syncing will no longer work.

Browser Support

The extension is supported on Google Chrome and Chromium-based browsers that implement the Chrome Web Store extension APIs (for example, Microsoft Edge). We don't guarantee that the extension will work in other browsers.

Your Responsibilities

When you use the extension:

  • You confirm you are authorized to access and read patient data from the PMS you use it with. If your employer or your PMS provider restricts the use of browser extensions on their pages, those restrictions take precedence over your use of our extension.
  • You are responsible for keeping your browser and operating system up to date so the extension functions correctly and securely.
  • You must not use the extension to scrape, extract, or repurpose data from your PMS beyond what is reasonably necessary to create voice notes for the cases you are working on.

Data Transmitted by the Extension

When you use the extension, it transmits to your Digital Clinic account:

  • Audio recordings you initiate from the side panel
  • Patient context fields (name, ID, species, age, weight, sex, chip number, history) read from the PMS page you have open at the time you record
  • Authentication is performed via your existing Digital Clinic browser session — the extension does not store or transmit credentials separately

Data transmitted by the extension is handled under the same retention, processing, and security terms as data submitted through the main web app. See our Privacy Policy for details.

Uninstalling

You can remove the extension at any time from chrome://extensions in your browser. Uninstalling has no effect on your Digital Clinic account or on any data you have already uploaded.


Professional Disclaimers

We Don't Provide Veterinary Services

The Digital Clinic develops and operates a platform for veterinary professionals. We are not a veterinary clinic, and we do not:

  • Provide diagnoses
  • Recommend treatments
  • Prescribe medications
  • Give medical advice

All clinical decisions are made by the licensed veterinary professionals using our platform.

AI and Automated Content

Our platform may include AI-powered features. Be aware that:

  • AI can make mistakes. Any AI-generated suggestions, summaries, or content must be verified by a qualified veterinary professional before being relied upon.
  • AI does not replace professional judgment. Automated tools are aids, not authorities.

Specialist Recommendations

When specialists provide opinions through the platform:

  • These are professional consultations, not directives
  • The treating veterinarian maintains responsibility for clinical decisions
  • Any medication recommendations must be independently verified for appropriateness, dosage, contraindications, and local regulations

Payment Terms

Billing for Clinics and Veterinary Practices

We offer different subscription plans with varying features. Depending on your plan:

  • Advance billing: Some plans are billed at the start of each billing period
  • Usage-based billing: Some plans track billable events (consultations, cases, voice calls, etc.) and bill after the billing period
  • Overage charges: If you exceed included units, additional usage is billed automatically

All prices are in SEK unless otherwise specified. Applicable VAT will be added where required.

Payment Terms

  • Invoices are due according to the payment terms on your invoice
  • Late payment interest (dröjsmålsränta): 10% per annum on overdue amounts
  • We reserve the right to suspend access for accounts with significantly overdue payments

For Specialists: Payouts

Specialists set their own consultation rates. Here's how payouts work:

  • Payment terms: 35 days from invoice approval
  • Settlement currency: SEK (Swedish Krona)
  • Reference rates: We display EUR equivalents for reference, but all settlements are in SEK. Minor variations may occur due to exchange rate fluctuations.
  • Self-invoicing: We generate invoices on your behalf (självfaktura). You are responsible for reviewing and approving these invoices—and for reporting any errors. By using our payout system, you agree to this self-invoicing arrangement.
  • Banking information: You must provide accurate bank details. We are not responsible for failed transfers due to incorrect information.

Price Changes

We may adjust pricing from time to time. For existing customers, we'll provide at least 30 days' notice before price changes take effect.


Intellectual Property

Our Property

We own all rights to the Digital Clinic platform—the code, design, logos, and documentation. You may not copy, modify, or reverse-engineer our software without permission.

Your Content

You retain ownership of the content you upload. By using our Services, you grant us a license to store, process, display, and transmit your content as necessary to provide the Services. This license ends when you delete your content or close your account (subject to backup retention periods described in our Privacy Policy).

Feedback

If you send us suggestions or feedback, you agree that we may use it without obligation to you.


Cancellation and Termination

You Can Cancel Anytime

Cancel your subscription through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

We May Terminate Accounts

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activity
  • Pose a risk to other users or our platform
  • Have significantly overdue payments

We may terminate with immediate effect if you: become insolvent; file for bankruptcy; suspend payments to us; or have materially breached these Terms. We may also terminate any agreement with one month's notice.

If a violation is deemed to break the law, we may file a report with the appropriate authorities.

What Happens to Your Data

Upon cancellation:

  • Your data becomes inaccessible immediately
  • We retain data for a period to comply with legal requirements and enable account recovery
  • After the retention period, data is permanently deleted

Disclaimers and Limitations

Services Provided As Is

We work hard to keep The Digital Clinic reliable and secure, but we provide our Services as is and as available. We don't guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.

Limitation of Liability

To the maximum extent permitted by law:

We only compensate direct damages caused by negligence on our part. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost production, lost sales, loss of data, or obstacles to fulfilling third-party obligations.

Our total liability for any claims arising from these Terms or your use of the Services is limited to the amount you paid us in the 12 months preceding the claim.

These limitations do not apply to:

  • Liability that cannot be excluded under applicable law
  • Our gross negligence or willful misconduct

Claim Deadlines

Any claim for damages or compensation must be made as soon as possible. If a claim has not been made within sixty (60) days after you discovered or should have discovered the reason for the claim, the claim is invalid.

Third-Party Services and Your Equipment

We are not responsible for damage to your hardware, your data, or other information arising from your use of the Services. We are also not responsible for errors in third-party products, damages caused by computer viruses or similar threats, or your liabilities to third parties.

Your Responsibility

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you upload to the platform

Governing Law and Disputes

Governing Law

These Terms are governed by Swedish law. The UN Convention on Contracts for the International Sale of Goods does not apply.

Dispute Resolution

We prefer to resolve disputes informally. If you have a concern, please contact us first at team@digitalclinic.vet.

If we can't resolve a dispute informally, any dispute shall be decided by the Stockholm District Court (Stockholms tingsrätt), unless you are an EU consumer, in which case you may also bring claims in the courts of your country of residence.


General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Clean Wake AB regarding the Services.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.

No Waiver

Our failure to enforce any provision doesn't waive our right to enforce it later.

Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.

Force Majeure

We're not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to: war, riots, labor disputes, export or import restrictions, natural disasters, fire, severe weather events, denial of service attacks, internet outages, pandemics, or government actions.

Marketing and Customer References

To help others understand our service, we sometimes share examples of organizations using The Digital Clinic. If you're a paying customer, we may display your organization's name and logo in customer lists on our website and in marketing materials. If you'd prefer not to be listed, just let us know.

Language

These Terms may be translated into multiple languages. In case of any conflict or ambiguity, the Swedish version shall prevail for legal interpretation purposes.
